(b) The Website is operated by NeuroNest Psychology (ABN 81708392612). Access to and use of the Website, or any of its associated Products or Services, is provided by NeuroNest Psychology. Please read these terms and conditions (Terms) carefully. By using, browsing and/or reading the Website, this signifies that you have read, understood and agree to be bound by the Terms. If you do not agree with the Terms, you must cease usage of the Website, or any of Services, immediately.
(c) NeuroNest Psychology reserves the right to review and change any of the Terms by updating this page at its sole discretion. When NeuroNest Psychology updates the Terms, it will use reasonable endeavours to provide you with notice of updates to the Terms. Any changes to the Terms take immediate effect from the date of their publication. Before you continue, we recommend you keep a copy of the Terms for your records.
(d) You agree that NeuroNest Psychology may, in its sole discretion and without prior notice, modify, discontinue, or restrict the use of any portion of the Website or Services, including the availability of any features, database, or content. NeuroNest Psychology shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Website or Services.
(e) The Services include Digital Health Services comprising online psychological consultations, educational resources, and digital mental health tools. These Services are provided subject to practitioner availability, technical requirements, and jurisdictional regulations. The Services do not constitute emergency mental health care or crisis intervention, and may not be suitable for all mental health conditions or circumstances.
(f) The Digital Health Services include Printable Resources comprising downloadable worksheets, educational materials, and self-help guides. These resources are provided for informational and educational purposes only, and while evidence-informed, do not constitute direct psychological treatment. Users acknowledge that such resources: (i) must be used in conjunction with professional guidance where clinically indicated; (ii) may not be reproduced or distributed without authorization; and (iii) should be used as supplementary tools within an appropriate treatment framework.
(g) By accessing the Digital Health Services, you acknowledge and agree that: (i) online psychological services have inherent limitations and risks, including potential technical disruptions and communication constraints; (ii) you must provide accurate information about your mental health status and circumstances; (iii) you will seek immediate emergency care if experiencing severe mental health crisis; and (iv) the effectiveness of digital interventions may vary based on individual circumstances and condition severity.
(h) You expressly consent and acknowledge that: (i) you must complete a comprehensive digital intake assessment before accessing some of our Digital Health Services; (ii) you will provide explicit consent for data collection and processing through our digital consent forms; (iii) you understand that we may terminate services if risk levels exceed our digital service capabilities; and (iv) you agree to regular progress monitoring and outcome assessments as part of the digital service delivery.
(i) You further acknowledge and agree that: (i) the Digital Health Services may require recording and storage of session content for quality assurance and legal compliance; (ii) while we maintain strict confidentiality protocols, no digital platform can guarantee absolute privacy or security; (iii) you have the right to withdraw consent or terminate services at anytime; and (iv) certain mental health conditions may require referral to in-person services at our professional discretion.
2. Acceptance of the Terms
You accept the Terms by remaining on the Website. You may also accept the Terms by clicking to accept or agree to the Terms where this option is made available to you by NeuroNest Psychology in the user interface.
3. Registration to use the Services
(a) In order to access the Services, you must first register for an account through the Website (Account).
(b) As part of the registration process, or as part of your continued use of the Services, you may be required to provide personal information about yourself (such as identification or contact details), including:
(i) Email address
(ii) Preferred username
(iii) Mailing address
(iv) Telephone number
(v) Password
(c) If providing sensitive health information such as diagnoses, this will be stored in a separate clinical database with industry-standard encryption and access controls in accordance with the Australian Privacy Principles and Healthcare Records Act. Such information will only be accessible to authorised healthcare providers, protected by multi-factor authentication, and subject to regular security audits to ensure compliance with relevant healthcare privacy regulations.
(d) You warrant that any information you give to NeuroNest Psychology in the course of completing the registration process will always be accurate, correct and up to date.
(e) Once you have completed the registration process, you will be a registered member of the Website (Member) and agree to be bound by the Terms.
(f) You may not use the Services and may not accept the Terms if: (i) you are not of legal age to form a binding contract with NeuroNest Psychology; or (ii) you are a person barred from receiving the Services under the laws of Australia or
other countries including the country in which you are resident or from which you use the Services.
(g) Prior to collecting any sensitive health information, explicit written consent will be obtained specifying: (i) the types of data to be collected, (ii) intended use and storage duration requirements by law, (iii) your rights to access, correct or request deletion of your data, and (iv) circumstances under which your data may be shared with other healthcare providers. You may withdraw consent at any time by submitting a written request, upon which your data will be securely archived or deleted according to regulatory requirements.
4. Your obligations as a Member/User
(a) As a Member, you agree to comply with the following:
(i) you will use the Services only for purposes that are permitted by: (A) the Terms; and (B) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions;
(ii) you have the sole responsibility for protecting the confidentiality of your password and/or email address. Use of your password by any other person may result in the immediate cancellation of the Services;
(iii) any use of your registration information by any other person, or third parties, is strictly prohibited. You agree to immediately notify NeuroNest Psychology of any unauthorised use of your password or email address or any breach of security of which you have become aware;
(iv) access and use of the Website is limited, non-transferable and allows for the sole use of the Website by you for the purposes of NeuroNest Psychology providing the Services;
(v) you will not use the Services or the Website in connection with any commercial endeavours except those that are specifically endorsed or approved by the management of NeuroNest Psychology;
(vi) you will not use the Services or Website for any illegal and/or unauthorised use which includes collecting email addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorised framing of or linking to the Website;
(vii) you agree that commercial advertisements, affiliate links, and other forms of solicitation may be removed from the Website without notice and may result in termination of the Services. Appropriate legal action will be taken by NeuroNest Psychology for any illegal or unauthorised use of the Website; and
(viii) you acknowledge and agree that any automated use of the Website or its Services is prohibited.
(ix) you agree to not act in a way that may diminish or adversely impact the reputation of NeuroNest Psychology, including by linking to the Website on any other website; and
(x) you acknowledge and agree that use of digital psychological intervention services requires explicit informed consent, including understanding the limitations of online services, confidentiality boundaries in digital communications, your right to withdraw from services at any time, and adherence to professional therapeutic boundaries as outlined in NeuroNest Psychology's informed consent documentation;
(xi) you acknowledge and agree that all digital psychological services provided by NeuroNest Psychology are governed by the Australian Psychological Society's Code of Ethics, including maintaining professional boundaries, ensuring clinical appropriateness of digital interventions, and upholding the highest standards of confidentiality in accordance with the Psychology Board of Australia's guidelines for telepsychology services;
(xii) you acknowledge and agree that you have the right to lodge formal complaints about psychological services through the Australian Health Practitioner Regulation Agency (AHPRA), and NeuroNest Psychology will provide information about this process upon request, including how to access AHPRA's online complaint portal and the specific steps for raising concerns about professional conduct or service delivery;
(xiii) you acknowledge and agree that NeuroNest Psychology's digital mental health education services are designed for educational and informational purposes only, including structured learning modules, interactive content, and self-paced resources, and that completion of these educational components does not constitute clinical treatment or replace professional psychological intervention when needed;
(xiv) you acknowledge and agree that all educational content and resources provided through NeuroNest Psychology's digital mental health education services remain the exclusive intellectual property of NeuroNest Psychology, and are licensed for personal, non-commercial use only, prohibiting any reproduction, distribution, modification, or sharing of materials without explicit written permission, with separate licensing arrangements required for professional or institutional use;
(xv) you acknowledge and agree that any downloadable or printable resources, worksheets, guides, or educational materials provided through NeuroNest Psychology's digital platform are strictly supplementary learning tools and do not constitute clinical advice, psychological assessment, or therapeutic intervention, and should not be used as a substitute for professional mental health treatment or
crisis support services;
(xvi) If you become aware of misuse of the Website by any person, any errors in the
material on the Website or any difficulty in accessing or using the Website, please contact us immediately using the contact details or form provided on our Website.
5. Payment
(a) All payments made in the course of your use of the Services are made using Stripe. In using the Website, the Services or when making any payment in relation to your use of the Services, you warrant that you have read, understood and agree to be bound by the Stripe terms and conditions which are available on their website.
(b) You acknowledge and agree that where a request for the payment of the Services Fee is returned or denied, for whatever reason, by your financial institution or is unpaid by you for any other reason, then you are liable for any costs, including banking fees and charges, associated with the Services Fee.
(c) You agree and acknowledge that NeuroNest Psychology can vary the Services Fee at any point given 30 days notice.
(d) You acknowledge and agree that NeuroNest Psychology may, at its sole discretion and without prior notice, suspend or terminate your access to the Website and Services if you breach these Terms or engage in any conduct that believes, in its sole discretion, violates any applicable law or is harmful to the interests of , its affiliates, or any third party.
6. Refund Policy
(a) NeuroNest Psychology will only provide you with a refund of the Services Fee in the event they are unable to continue to provide the Services or if the manager of NeuroNest Psychology makes a decision, at its absolute discretion, that it is reasonable to do so under the circumstances (Refund).
(b) Any benefits set out in this Terms and Conditions may apply in addition to consumer's rights under the Australian Consumer Law.
7. Copyright and Intellectual Property
(a) The Website, the Services and all of the related products of NeuroNest Psychology are subject to copyright. The material on the Website is protected by copyright under the laws of Australia and through international treaties. Unless otherwise indicated, all rights (including copyright) in the Services and compilation of the Website (including but not limited to text, graphics, logos, button icons, video images, audio clips, Website code, scripts, design elements and interactive features) or the Services are owned or controlled for these purposes, and are reserved by NeuroNest Psychology or its contributors.
(b) All trademarks, service marks and trade names are owned, registered and/or licensed by NeuroNest Psychology, who grants to you a worldwide, non-exclusive, royalty-free, revocable license whilst you are a Member to:
(i) use the Website pursuant to the Terms;
(ii) copy and store the Website and the material contained in the Website in your device's cache memory; and
(iii) print pages from the Website for your own personal and non-commercial use.
NeuroNest Psychology does not grant you any other rights whatsoever in relation to the Website or the Services unless you purchase a Professional licence for a particular printable resource - see clauses (f), (g), (h) and (i).
(c) NeuroNest Psychology retains all rights, title and interest in and to the Website and all related Services. Nothing you do on or in relation to the Website will transfer any:
(i) business name, trading name, domain name, trade mark, industrial design, patent, registered design or copyright, or
(ii) a right to use or exploit a business name, trading name, domain name, trade mark or industrial design, or
(iii) a thing, system or process that is the subject of a patent, registered design or copyright (or an adaptation or modification of such a thing, system or process).
(d) You may not, without the prior written permission of NeuroNest Psychology and the permission of any other relevant rights owners: broadcast, republish, up-load to a third party, transmit, post, distribute, show or play in public, adapt or change in any way the Services or third party Services for any purpose, unless otherwise provided by these Terms.
(e) All educational materials, course content, learning resources, assessment tools, therapeutic methodologies, and psychological frameworks provided through the Website or Services remain the exclusive intellectual property of NeuroNest Psychology. Users may access and use these materials solely for personal educational purposes while receiving Services and may not copy, distribute, modify, or create derivative works from any educational content, regardless of whether it is password-protected or publicly accessible, without express written permission from NeuroNest Psychology.
(f) Professional users must obtain a Professional License from NeuroNest Psychology before utilizing any printable resource materials for use within their professional role with clients. This Professional License shall: (i) be subject to separate fee structures and terms, (ii) explicitly define permitted usage in professional settings as stated below, and (iii) require written authorization for any adaptation or reproduction of materials in professional contexts. Any unauthorized professional use, including but not limited to training delivery, or organizational deployment, shall constitute a material breach of these Terms and may result in immediate license termination and legal action.
(g) Professional License holders must maintain detailed records of all resource usage, including: (i) client identification codes, (ii) dates of resource distribution, and (iii) confirmation of client acknowledgment of usage restrictions. These records shall be made available to NeuroNest Psychology upon request for audit purposes. Failure to maintain or provide such records may result in immediate license suspension and a requirement to destroy all distributed copies of licensed materials within 14 business days of notification.
(h) Professional License holders must only use the licensed resource with their direct clients/service users and not share or distribute with colleagues or publicly within their organisation or elsewhere. Other people within their company wishing to use the resourse with clients and/or service users must buy their own Professional Licence.
(i) Professional License holders must advice clients/service uses upon receiving the resource that it is solely for their benefit and is not for distribution to others on for the public domain. Clients must agree to this prior to be given a copy of the resource.
(j) You acknowledge and agree that all content and materials available on the Website are protected by copyrights, trademarks, service marks, patents, trade secrets, or other proprietary rights and laws. Except as expressly authorised by NeuroNest Psychology, you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works from such materials or content.
(k) You agree to indemnify and hold harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms, your violation of any law, or your violation of the rights of a third party.
8. Privacy
NeuroNest Psychology takes your privacy seriously and any information provided through your use of the Website and/or Services are subject to NeuroNest Psychology's Privacy Policy, which is available on the Website.
In addition to our Privacy Policy, we implement specific safeguards for sensitive health information. All client data is encrypted, stored securely, and accessed only by authorized personnel in accordance with professional psychological practice standards.
9. General Disclaimers
(a) Nothing in the Terms limits or excludes any guarantees, warranties, representations or conditions implied or imposed by law, including the Australian Consumer Law (or any liability under them) which by law may not be limited or excluded.
(b) Subject to this clause, and to the extent permitted by law: (i) all terms, guarantees, warranties, representations or conditions which are not expressly stated in the Terms are excluded; and (ii) NeuroNest Psychology will not be liable for any special, indirect or consequential loss or damage (unless such loss or damage is reasonably foreseeable resulting from our failure to meet an applicable Consumer Guarantee), loss of profit or opportunity, or damage to goodwill arising out of or in connection with the Services or these Terms (including as a result of not being able to use the Services or the late supply of the Services), whether at common law, under contract, tort (including negligence), in equity, pursuant to statute or otherwise.
(c) Use of the Website and the Services is at your own risk. Everything on the Website and the Services is provided to you "as is" and "as available" without warranty or condition of any kind. None of the affiliates, directors, officers, employees, agents, contributors and licensors of NeuroNest Psychology make any express or implied representation or warranty about the Services or any products or Services (including the products or Services of NeuroNest Psychology) referred to on the Website. This includes (but is not restricted to) loss or damage you might suffer as a result of any of the following:
(i) failure of performance, error, omission, interruption, deletion, defect, failure to correct defects, delay in operation or transmission, computer virus or other harmful component, loss of data, communication line failure, unlawful third party conduct, or theft, destruction, alteration or unauthorised access to records;
(ii) the accuracy, suitability or currency of any information on the Website, the Services, or any of its Services related products (including third party material and advertisements on the Website);
(iii) costs incurred as a result of you using the Website, the Services or any of the products of NeuroNest Psychology; and
(iv) the Services or operation in respect to links which are provided for your convenience.
(v) the effectiveness, suitability or outcomes of any educational content, learning materials, assessments or methodologies provided through the Services, including but not limited to variations in individual learning experiences, technical delivery constraints, or differences in educational outcomes;
(vi) the interpretation or application of any educational or therapeutic resources as clinical advice, diagnosis, or treatment, noting that all materials are provided for informational and educational purposes only and cannot substitute for professional mental health assessment, diagnosis, or treatment by qualified practitioners;
(d) Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the ACICA Arbitration Rules. The seat of arbitration shall be Perth, Australia. The language of the arbitration shall be English. The number of arbitrators shall be one.
(e) The digital mental health Services provided through the Website are not suitable for emergency or crisis situations. Users acknowledge that the Services: (i) are not a substitute for emergency medical or mental health intervention; (ii) may have inherent limitations and delays due to the digital nature of communication; and (iii) should not be relied upon in situations requiring immediate attention. In the event of a mental health emergency or thoughts of self-harm, users must immediately contact emergency services on 000 or seek appropriate in-person medical care.
(f) In addition to emergency services (000), users experiencing mental health crises must follow this escalation protocol: (i) immediately contact their designated mental health professional or general practitioner if available; (ii) call Lifeline on 13 11 14 or access their 24/7 crisis chat service; (iii) proceed to the nearest hospital emergency department if experiencing severe symptoms; or (iv) contact the mental health crisis team in their state or territory. Users must maintain an updated safety plan, including emergency contact numbers, local mental health services, and trusted support persons who can be contacted during a crisis.
(g) Users expressly acknowledge that the digital mental health Services have specific clinical resource limitations, including: (i) the inability to conduct in-person examinations or hands- on interventions; (ii) potential technical delays or interruptions that may impact service delivery; (iii) the absence of immediate face-to-face clinical assessment capabilities; and
(iv) limited ability to respond to rapid changes in mental state or circumstances. These Services are designed for stable, non-acute mental health support only and may not be suitable for complex psychiatric conditions requiring intensive monitoring or immediate clinical intervention.
10. Limitation of liability
(a) NeuroNest Psychology makes no warranties or representations about this Website or any of its content and will not be responsible to you or any third party for any direct or consequential loss suffered in connection with the use of this Website. To the maximum extent permitted by law, we exclude any liability that may arise due to your use of our Website and/or the information or materials contained on it. You agree to indemnify us for any loss or liability arising out of your use of this Website.
(b) You expressly understand and agree that NeuroNest Psychology, its affiliates, employees, agents, contributors and licensors shall not be liable to you for any direct, indirect, incidental, special consequential or exemplary damages which may be incurred by you, however caused and under any theory of liability. This shall include, but is not limited to, any loss of profit (whether incurred directly or indirectly), any loss of goodwill or business reputation and any other intangible loss.
11. Competitors
If you are in the business of providing similar Services for the purpose of providing them to users for a commercial gain, whether business users or domestic users, then you are a competitor of NeuroNest Psychology. Competitors are not permitted to use or access any information or content on our Application. If you breach this provision, NeuroNest Psychology will hold you fully responsible for any loss that we may sustain and hold you accountable for all profits that you might make from such a breach.
(a) The Terms will continue to apply until terminated by either you or by NeuroNest Psychology as set out below.
(b) If you want to terminate the Terms, you may do so by:
(i) providing NeuroNest Psychology with 14 days' notice of your intention to terminate; and
(ii) closing your accounts for all of the services which you use, where NeuroNest Psychology has made this option available to you.
Your notice should be sent, in writing, to NeuroNest Psychology via the 'Contact Us' link on our homepage.
(c) NeuroNest Psychology may at any time, terminate the Terms with you if:
(i) you have breached any provision of the Terms or intend to breach any provision;
(ii) NeuroNest Psychology is required to do so by law;
(iii) the provision of the Services to you by NeuroNest Psychology is, in the opinion of NeuroNest Psychology, no longer commercially viable.
(d) Subject to local applicable laws, NeuroNest Psychology reserves the right to discontinue or cancel your membership given a 48hr notice period and may suspend or deny, in its sole discretion, your access to all or any portion of the Website or the Services without notice if you breach any provision of the Terms or any applicable law or if your conduct impacts NeuroNest Psychology's name or reputation or violates the rights of those of another party.
(e) In the event of service termination involving ongoing educational programs, NeuroNest Psychology will provide reasonable arrangements for program completion or issue proportional refunds for uncompleted portions of pre-paid programs, calculated based on the percentage of services delivered prior to termination. Users enrolled in active courses will receive 48 hrs notice before any service discontinuation to ensure appropriate transition arrangements.
You agree to indemnify NeuroNest Psychology, its affiliates, employees, agents, contributors, third party content providers and licensors from and against:
(a) all actions, suits, claims, demands, liabilities, costs, expenses, loss and damage (including legal fees on a full indemnity basis) incurred, suffered or arising out of or in connection with your content;
(b) any direct or indirect consequences of you accessing, using or transacting on the Website or attempts to do so; and/or
(c) any breach of the Terms.
14.1. Compulsory:
If a dispute arises out of or relates to the Terms, either party may not commence any
Tribunal or Court proceedings in relation to the dispute, unless the following clauses have been complied with (except where urgent interlocutory relief is sought).
14.2. Notice:
A party to the Terms claiming a dispute (Dispute) has arisen under the Terms, must give written notice to the other party detailing the nature of the dispute, the desired outcome and the action required to settle the Dispute.
14.3. Resolution:
On receipt of that notice (Notice) by that other party, the parties to the Terms (Parties) must:
(a) Within 28 days of the Notice endeavour in good faith to resolve the Dispute expeditiously by negotiation or such other means upon which they may mutually agree;
(b) If for any reason whatsoever, 28 days after the date of the Notice, the Dispute has not been resolved, the Parties must either agree upon selection of a mediator or request that an appropriate mediator be appointed by the Australian Mediation Association;
(c) The Parties are equally liable for the fees and reasonable expenses of a mediator and the cost of the venue of the mediation and without limiting the foregoing undertake to pay any amounts requested by the mediator as a precondition to the mediation commencing. The Parties must each pay their own costs associated with the mediation;
(d) The mediation will be held in Perth, Australia.
14.4. Confidential
All communications concerning negotiations made by the Parties arising out of and in connection with this dispute resolution clause are confidential and to the extent possible, must be treated as "without prejudice" negotiations for the purpose of applicable laws of evidence.
14.5. Termination of Mediation:
If 2 months have elapsed after the start of a mediation of the Dispute and the Dispute has not been resolved, either Party may ask the mediator to terminate the mediation and the mediator must do so.
The Services offered by NeuroNest Psychology is intended to be viewed by residents of Australia. In the event of any dispute arising out of or in relation to the Website, you agree that the exclusive venue for resolving any dispute shall be in the courts of Western Australia, Australia.
The Terms are governed by the laws of Western Australia, Australia. Any dispute, controversy, proceeding or claim of whatever nature arising out of or in any way relating to the Terms and the rights created hereby shall be governed, interpreted and construed by, under and pursuant to the laws of Western Australia, Australia, without reference to conflict of law principles, notwithstanding mandatory rules. The validity of this governing law clause is not contested. The Terms shall be binding to the benefit of the parties hereto and their successors and assigns.
If any part of these Terms is found to be void or unenforceable by a Court of competent jurisdiction, that part shall be severed and the rest of the Terms shall remain in force.
